Terms of Service - Parrot Application

These Terms of Service ("Terms") govern your use of the Parrot platform operated by Parrot Consulting ("we", "us", "our"). By accessing or using Parrot, you agree to be bound by these Terms.
1. Description of Service
Parrot is an AI-powered RFP management and knowledge base platform that enables organisations to:
- Manage and analyse tender and RFP documents
- Build and query an AI-powered knowledge base (Brains) from company documents
- Synchronise documents from connected cloud storage services (e.g. Google Drive)
- Generate AI-assisted responses to RFP questions
Access to Parrot is provided on a per-organisation basis. Individual user accounts are created and managed by your organisation's administrator.
2. Eligibility and Access
Parrot is a business-to-business (B2B) platform. Access is granted only to organisations that have entered into a separate agreement with Parrot Consulting. Individual end users access the platform through their organisation's account.
You must be authorised by your organisation to use Parrot. You agree not to share your login credentials with any third party.
3. Acceptable Use
You agree to use Parrot only for lawful business purposes and in accordance with these Terms. You must not:
- Upload or sync documents that you do not have the right to process or share
- Attempt to reverse-engineer, decompile, or circumvent any security measures of the platform
- Use the platform to process unlawful, defamatory, or harmful content
- Interfere with or disrupt the platform's infrastructure or other users' access
- Use automated tools to access the platform in ways not expressly permitted
4. Third-Party Integrations
Parrot allows you to connect third-party cloud storage services, including Google Drive. When you connect such a service:
- You authorise Parrot to access only the specific folder you select, with read-only permissions
- You confirm you have the right to grant this access for all files within the selected folder
- You may disconnect the integration at any time from the Settings page, which will immediately revoke Parrot's access token and stop all future syncing
Parrot is not responsible for the availability, content, or security of third-party services.
5. Data and Content
5.1 Your Content
You retain ownership of all documents and content you upload or sync into Parrot. By using the platform, you grant Parrot Consulting a limited licence to store, process, and analyse your content solely for the purpose of delivering the Parrot service.
5.2 AI Processing
Document content may be processed by third-party AI providers (OpenAI, Google) to generate embeddings and responses. This processing is governed by those providers' terms and data processing agreements, to which Parrot Consulting is a party.
5.3 Data Deletion
When you delete a document or disconnect a sync integration, associated data is removed from Parrot's systems. Organisation data is fully deleted within 30 days of account termination.
6. Availability and Support
We aim to maintain high availability of the Parrot platform but do not guarantee uninterrupted service. Planned maintenance windows will be communicated in advance where possible.
Support is provided to organisation administrators via the agreed support channel.
7. Intellectual Property
The Parrot platform, including its design, software, and documentation, is the intellectual property of Parrot Consulting. Nothing in these Terms grants you any rights in the platform itself beyond the right to use it as described herein.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Parrot Consulting shall not be liable for:
- Loss of data resulting from incorrect use of the platform or third-party service outages
- Indirect, incidental, or consequential losses arising from use of the platform
- Losses arising from AI-generated outputs that are inaccurate or incomplete
Our total liability in any circumstances shall not exceed the fees paid by your organisation in the three months preceding the claim.
9. Termination
We reserve the right to suspend or terminate access to Parrot for breach of these Terms, non-payment, or where required by law. You may terminate your organisation's use of Parrot at any time by contacting us; data deletion will follow the process described in Section 5.3.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the platform or email. Continued use of Parrot after the effective date of any changes constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Netherlands.
